LLC in the United States
Thinking of forming an LLC in the United States? Review your business plans, formation steps and ongoing obligations alongside your plans in Paraguay.
What is a US LLC?
An LLC (Limited Liability Company) is a company formed under the laws of a US state. Its legal structure and tax treatment are separate matters. The appropriate setup depends on your activities, members and tax residency.
US LLC: What to plan for your LLC
Clarify both the initial formalities and the ongoing requirements before getting started.
LLC formation
Select the state, check name availability, appoint a registered agent and file formation documents. Requirements and fees vary by state.
EIN / US tax ID number
The EIN identifies your company with the IRS. Apply after forming the company. The application route depends in part on where your business is based.
Business banking
Banks and payment providers carry out their own checks. Forming an LLC does not guarantee account approval.
Ongoing compliance
Plan for state filings, a registered agent and applicable tax returns. Having no tax to pay does not mean there are no reporting obligations.

A US LLC and residency in Paraguay are separate procedures
Forming a US LLC does not replace your Paraguayan residency or RUC / Tax number. An LLC does not automatically make income tax-free: your overall circumstances need to be assessed.

Can a non-US resident own an LLC?
Most states allow foreign ownership. Formation rules and any activity-specific restrictions must be checked in the selected state.
Can a non-U.S. resident owe no U.S. income tax?
Yes, subject to conditions, on foreign-source income that is not effectively connected with a U.S. trade or business (ECI), from a single-member LLC treated as a disregarded entity whose owner is neither a U.S. citizen nor a U.S. tax resident. This is not an automatic exemption: U.S.-source income, reporting obligations, state taxes and taxation in the country of residence must be assessed.
What reporting should I plan for?
Requirements depend on the structure. Certain foreign-owned single-member US LLCs must file Form 5472 with a pro forma Form 1120 when they have reportable transactions with related parties.
Is an EIN the same as the Paraguayan RUC?
No. The EIN is a US tax identifier. The RUC / Tax number belongs to the Paraguayan system and requires a separate procedure.
What are the fees and timelines?
They depend on the state, your case and the services requested. Contact us to clarify your needs and the applicable terms before committing.
